Non-Disclosure Agreement (NDA)
This non-disclosure agreement (NDA) template is a short and sweet document drafted in 2-column format that can be used to govern the disclosure of confidential information between two parties involved in an IT transaction or considering doing business with each other. It can be used as a mutually applicable NDA or a "1 way" NDA (depending on which option you select from our questionnaire).
How this document can help you
Without an NDA it can be very difficult to enforce obligations of confidence on another party. The NDA is only about 2 pages long and is thus likely to be better received than a more lengthy confidentiality agreement.
What it includes
You can use Contract Builder to tailor the NDA in a few different ways, for example:
- So that it applies mutually to both parties, or only “1 way”;
- So that the obligations expire after a certain period of time or so that it operates indefinitely.
Common questionsWhat is the difference between a Confidentiality Agreement and a Non-Disclosure Agreement (NDA)?
Nothing. They are 2 ways of describing the same thing.
How do I know if I need a 1-way NDA or a mutually applicable one?
1-way NDAs protect confidential information in one direction only, that is of one party only. Mutually applicable NDAs are more suited to situations where the 2 parties are each disclosing confidential information to one another.
